This Agreement is made between Fortunesoft UK Ltd trading as The Soldiers Box (hereinafter referred to as the Company) and the Customer (hereinafter referred to as the Customer).

The term of this Agreement is defined by the package selected from within the 'Billings and Upgrades' tab within accounts settings. The term is equal to the length of the billing cycle that you have chosen. Trial accounts have a term of 14 days and, if are not converted to a paying account, expire at the end of their term.
This agreement renews automatically for another term of equal length at the end of each term, unless it is previously terminated by either party. Annual terms require a 30 day written notice for cancellation. Annual accounts must terminate the service by signing into their account and raising a support ticket.
Either party may terminate this agreement upon 30 days prior written notice in the event of a material breach that is not cured within thirty (30) days after notice.
Cancellations that occur in the middle of a payment term will be made effective on the cancellation date. Accounts will not receive refunds for prepayment. You will be charged for the billing period in which you terminate your account according to the terms of this agreement.
Upon the expiration or termination of the agreement you will cease to use the service. Your account including all its data is permanently deleted.
For the term of the agreement, Fortunesoft UK Ltd grants to you a limited, non-transferable, non-exclusive right to access and use its proprietary, commercially available service for your use only.
The service is made available to you via a secure website. We host and retain physical control over the software and only make it available for access, and use by you.
Nothing in this agreement obligates The Company to deliver or make available any copies of computer programs or code from the software to you. you may not rent, lease, distribute, or resell the service, or use the service as the basis for developing a competitive solution (or contract with a third party to do so), or remove or alter any of the logos, branding, trademark, patent or copyright notices, confidentiality or proprietary legends or other notices or markings that are on or in the service.
The service is offered to you to help you look after your important digital assets. You may not access the service if you are a direct competitor of The Soldiers Box. You may not, without The Company's prior written consent, allow any person or company to perform any technical security integrity review, penetration test, load test, denial-of-service simulation or vulnerability scan.
You agree not to use the service to:
The Company reserves the right to disclose any information or materials as necessary to satisfy any applicable law, regulation, legal process or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, from the service, at The Company's sole discretion, without any notice.
If you are using a trial account you agree
The Company at its sole discretion immediately terminates your service if any of the requirements above are not met.
The Company has the right to discontinue your trial package at any time at its sole discretion.
The Company may suspend your account if it reasonably concludes that the activity of your account is unlawful, or causes immediate harm to The Company and/or others. If we suspend your access to the service, we will use commercially reasonable efforts to notify you and to resolve the issues causing the suspension of service. The Company shall not be liable to you nor to any third party for any suspension of the service under such circumstances. It is your responsibility to ensure that the contact information in your account is accurate for reaching you or your representative.
Currency: The Company accepts payment in Pound Sterling (GBP) for transactions with the following payment methods: Credit/Debit Cards or PayPal.
The prices for any services displayed on any part of the Soldiers Box website are inclusive of any applicable VAT.
The price of services stated in any invoice shall be inclusive of VAT.
Fees and any other charges for the use of the service and for any add-ons and overages are described on the 'Billings and Upgrades' tab within accounts settings. They may change from time to time. If we change them, we will give you at least 30 days' notice. If they do change, your continued use of the service after the effective date indicates your agreement with the new fees and charges. Any change to fees and other charges will not be applicable to the term in which the change occurs.
All service fees are billed in advance according to your chosen billing cycle.
All Fees shall be paid in GBP.
If undisputed amounts are not paid within 30 days your account is automatically suspended. Suspended accounts including their data and applications are automatically deleted 30 days after suspension. Reactivation of a suspended account requires the payment of all past due invoices.
You must notify The Company within 15 days of the end of a billing cycle regarding any amount in dispute and must include reasonable detail regarding such dispute.
You retain all right, title and interest to all the data that you upload to your account in the course of using the service "Customer Data". You, not The Company, shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Customer Data, and The Company shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any Customer Data.
The Company reserves the right to withhold, remove and/or discard Customer Data without notice for any breach, including, without limitation, your non-payment. Upon termination for cause, your right to access or use Customer Data immediately ceases, and The Company shall have no obligation to maintain or forward any Customer Data.
The Company shall own all rights, title and interest in and to all intellectual property rights in the service and software, and transnational and performance data.
The license granted to you does not convey any rights in the service, express or implied, or ownership in the service or any intellectual property rights thereto. Any rights not expressly granted herein are reserved by The Company.
The Company reserves the right to enhance, upgrade, or modify the service with or without notice to you.
At The Company sole discretion some upgrade and updates may be made available to you free of charge and some other features and functionalities may require additional fees if you choose to use them.
The Company represents and warrants that
The service and the software are provided "as is" and the company hereby disclaims all implied warranties of merchantability and fitness for a particular purpose with respect to the service, software, documentation, deliverables and other materials and/or services. The company does not warrant that operation of the service is error-free or that its operation will be uninterrupted. The foregoing exclusions and disclaimers are an essential part of this agreement and formed the basis for determining the price charged for the service.
In no event will either party be liable for any indirect, consequential, special, punitive, or exemplary damages arising out of this agreement.
The aggregate liability of either party to the other with respect to this agreement is limited, to the extent possible under applicable law, to the fees collected by The Company from you pursuant to this agreement in the twelve months preceding the imposition of liability.
The Company reserves the right to modify any of the terms and conditions contained in this agreement, or any policy governing the service, at any time, by posting the new agreement to the Soldiers Box website. You are responsible for regularly reviewing the site. Your continued use of the service following The Company's posting of the changes will constitute your acceptance of such changes.
The construction, performance and validity of the agreement will be governed by English law and the English courts have jurisdiction to settle any disputes which may arise out of or in connection with it. Where the customer accesses TSB website from locations outside the UK, the customer does so, on the customers own initiative and is responsible for compliance with all and any applicable local laws.
Capitalised terms not otherwise defined herein shall have the meaning ascribed to them in The Company Terms of service ("Agreement").
Scheduled Maintenance means any maintenance on the equipment and services that affect the up time of The Soldiers Box, for which you are notified at least 24 hours in advance.
Notice of Scheduled Maintenance will be provided to you by a method elected by The Company (email or telephone).
Nothing in this agreement shall prevent The Company from conducting emergency maintenance on an as-needed basis. In the event that scheduled maintenance may unduly affect your operations, it shall be your responsibility to notify The Company Technical Support via the service contact page to discuss any necessary arrangements.

Electronic Newsletters (Dispatches).
We will offer a free electronic newsletter to users. TSB gathers the email addresses of users who voluntarily subscribe. Users may remove themselves from this mailing list by following the link provided in every newsletter that points users to the subscription management page. Users can also subscribe to the newsletters at the time of registration.
Users of the site's Message Boards and Forums must register separately for these services (both are free of charge) in order to post messages, although they needn't register to visit the site. During registration the user is required to supply a username, password, and email address.
We may offer interactive polls to users so they can easily share their opinions with other users and see what our audience thinks about important issues. Opinions or other responses to polls are aggregated and are not identifiable to any particular user. TSB may use a system to "tag" users after they have voted, so they can vote only once on a particular question. This tag is not correlated with information about individual users.
TSB may occasionally conduct user surveys to better target our content to our audience. We sometimes share the aggregated demographic information in these surveys with our sponsors, advertisers and partners. We never share any of this information about specific individuals with any third party.
We will never knowingly request personally identifiable information from anyone under the age of 18 without requesting parental consent.
TSB tracks user traffic patterns throughout all of our sites. However, we do not correlate this information with data about individual users. TSB does break down overall usage statistics according to a user's domain name, browser type, and MIME type by reading this information from the browser string (information contained in every user's browser).
TSB sometimes tracks and catalogs the search terms that users enter in our search function, but this tracking is never associated with individual users. We use tracking information to determine which areas of our sites users like and don't like based on traffic to those areas. We do not track what individual users read, but rather how well each page performs overall. This helps us continue to build a better service for you.
